Terms and Conditions (AGB) of FlowAlp SAGL
Effective Date: 12 December 2025
1. Introduction
These Terms and Conditions (“Terms”) govern the use of the services provided by FlowAlp SAGL (“FlowAlp”, “we”, “us”, “our”), including but not limited to our website flowalp.com, our event management tools, payment processing services, scheduling platform, and any related software or solutions (“Services”).
By using our Services, you agree to these Terms.
If you do not agree, you must discontinue use of our Services.
2. Priority of Individual Contracts
If a written contract exists between FlowAlp and a customer (e.g., an event organizer, business, or organization), the individual contract takes precedence over these Terms.
These Terms apply only where the individual agreement is silent or does not provide specific instructions.
3. Jurisdiction and Governing Law
All Services are governed exclusively by Swiss law.
The exclusive place of jurisdiction for all disputes arising from or relating to our Services or these Terms is Biasca, Switzerland.
No other jurisdiction or legal system shall apply.
4. Nature of Services – Best Effort, No Guarantees
All Services provided by FlowAlp are offered on a best-effort basis.
FlowAlp:
Provides no legal guarantees,
Offers no warranties of any kind, whether express or implied,
Does not guarantee availability, reliability, accuracy, or uninterrupted operation, and
Is not liable for technical issues, downtime, or third-party system failures.
All Services are delivered “as is” without any warranty.
5. Responsibilities of Event Organizers and Businesses
FlowAlp provides tools for event management, payment processing, staff administration, and related functionalities.
FlowAlp is not the organizer of any event and is not the provider of any end product or service unless explicitly stated otherwise.
5.1 Event Organizer Responsibilities
Event organizers, businesses, or institutions (“Organizers”) using FlowAlp:
Are fully and solely responsible for the events they operate
Are fully responsible for the accuracy of the information they provide
Are fully responsible for the products, services, benefits, and experiences they deliver to end users
Are liable for any costs, damages, or legal consequences arising from their event or business activities
Must handle all customer service, complaints, and refund requests from end users
Must comply with all local laws applicable to their activity
FlowAlp provides only the technical infrastructure and does not assume responsibility for the Organizer’s conduct or obligations.
5.2 Extra Costs and Chargebacks
Organizers are responsible for all costs incurred due to their activities, including but not limited to:
Chargebacks
Payment disputes
Penalties applied by payment processors
Refund costs
Administrative fees
Any financial loss FlowAlp incurs due to Organizer actions or omissions will be billed back to the Organizer.
6. Payment Processing and Third-Party Businesses
FlowAlp may process payments on behalf of third parties, including but not limited to:
Event organizers
Restaurants
Food providers
Local businesses
Activity providers
Service vendors
FlowAlp acts only as a technical intermediary or collection agent, depending on the setup.
6.1 Responsibility for End Products and Services
When FlowAlp processes payments for a business (e.g., a restaurant or service provider):
FlowAlp does not provide,
Does not guarantee,
Is not responsible for,
the actual products, services, food, reservations, or experiences.
The business itself is fully and solely responsible for:
The quality of the service or product
Delivering what was purchased
Handling complaints, refund requests, or disputes
Any legal or regulatory compliance
6.2 End User Complaints
End users must direct all complaints, requests, disputes, and refund inquiries directly to the responsible business or event organizer.
FlowAlp does not mediate disputes regarding:
Food, products, or services
Event experiences
Reservation issues
Service quality
Delivery failures
FlowAlp may forward end-user issues to the appropriate Organizer or business without assuming any responsibility.
7. Refunds
FlowAlp does not issue refunds for products or services provided by Organizers or businesses.
Refund requests must be addressed directly to:
The event organizer, or
The business providing the end product or service.
FlowAlp is not responsible for:
Refund decisions
Refund processing
Delay, denial, or handling of refunds
Losses arising from Organizer or business actions
8. Limitation of Liability
To the maximum extent permitted under Swiss law:
FlowAlp is not liable for indirect, incidental, punitive, special, or consequential damages
FlowAlp is not liable for Organizer or business actions
FlowAlp is not liable for system downtime, data loss, or third-party service failures
FlowAlp is not responsible for the correctness of data entered by users or organizers
FlowAlp is not responsible for end products, services, or event outcomes
FlowAlp’s total liability for any claim is limited to the amount paid by the customer for the specific Service in the 30 days prior to the incident.
9. Suspension or Termination of Services
FlowAlp may suspend or terminate access to Services at any time for reasons including but not limited to:
Fraud
Abuse
Misuse of the platform
Legal violations
Non-payment
Technical or security issues
Breach of these Terms
10. Changes to These Terms
FlowAlp may update or modify these Terms at any time. The updated Terms will be published on the Website with a revised effective date. Continued use of the Services constitutes acceptance of the updated Terms.
